Mambo Early Access Terms

1. The agreement

1.1 These Early Access Terms (the "Terms") are an agreement between you and Mambo Money, Inc., a Delaware corporation registered to do business in New York, which you can reach at security@mambo.financial. They govern your use of Mambo during its early-access beta.

1.2 You accept these Terms when you create your account. If you do not agree to them, do not create an account or use the Service.

1.3 In these Terms, "Mambo", "we", "us" and "our" mean Mambo Money, Inc.. Where these Terms describe what Mambo shows, says or does within the Service, "Mambo" means the Service. "The Service" means Mambo as provided through mambo.financial and, once it is offered, through WhatsApp. "You" means the person who accepts these Terms. "Your household", "household data" and "processor" have the meanings given in Section 2.2 of the Privacy Policy.

2. Eligibility and your account

2.1 You may use the Service only if you are at least 18 years old, we have invited you, and you are able to enter into a binding contract.

2.2 You must keep your sign-in details, and any phone you link to the Service, to yourself. If you lose a linked phone, unlink it in Settings. If you believe someone else has used your account, tell us at once at security@mambo.financial.

2.3 If you add other people to your household, you confirm that you are entitled to give us their information for use in the Service as the Privacy Policy describes.

3. Not financial advice

3.1 Mambo helps you understand your own finances. Mambo is not a registered investment adviser, broker-dealer, tax preparer or financial planner, and nothing the Service shows you is investment, tax or legal advice. Mambo never names a security to buy or sell.

3.2 The figures the Service shows are estimates, built from the data you give it and the assumptions it states. Check anything important against its source and, where it matters, with a licensed professional.

3.3 Mambo is an AI system, not a person.

4. An early-access beta

4.1 The Service is in an invite-only early-access beta, and you are using it because we invited you. During the beta, what the Service shows may be wrong, missing or unavailable, and its features may change or be withdrawn.

4.2 We fix problems as quickly as we reasonably can, and we tell you when we do. We do not commit to any level of availability, performance or support.

5. Your data

5.1 Our promise about your data is this:

Your data is yours. Nobody sees it but you and Mambo. Nobody at Mambo opens it without your permission. We never sell it. We never use it for research.

5.2 The Privacy Policy, at mambo.financial/privacy, sets out what we collect, which processors handle household data for us, and when a person at Mambo may open it. It also sets out how you can delete all of it yourself, at any time.

5.3 You keep all rights in your household data. You permit us to use it only to provide the Service to you, as the Privacy Policy describes.

5.4 Mambo never moves money.

6. Your license, and acceptable use

6.1 Subject to these Terms, we grant you a personal, non-exclusive, non-transferable and revocable license to use the Service for your own household during the beta.

6.2 You agree not to:

• use the Service for anyone other than your own household;
• attempt to reach another household's data, or to test, probe or bypass the Service's security;
• copy, modify, resell or reverse engineer the Service, except as the law expressly permits;
• access the Service by automated means, or interfere with its operation; or
• use the Service for any unlawful or fraudulent purpose.

6.3 If you find a security weakness in the Service, report it to security@mambo.financial and do not use it.

6.4 If something in the Service looks wrong, tell us.

7. Ownership and feedback

7.1 Your household data belongs to you, and nothing in these Terms transfers ownership of it to us.

7.2 The Service, including its software, design and text, and the Mambo name belong to us or our licensors. These Terms give you no rights in them beyond the license in Section 6.1.

7.3 During the beta, we will ask for your feedback, including a few short conversations about what worked. Taking part is voluntary. We may use the suggestions and comments you give us about the Service without any obligation to you. Feedback is not household data, and giving it does not permit us to use your household data in any other way.

8. Services provided by others

8.1 The Service connects to your financial institutions through Plaid Inc. ("Plaid"). You enter your bank login in Plaid's own window, and Plaid's own use of the connection is governed by Plaid's End User Privacy Policy, which you accept there.

8.2 Your financial institutions, Plaid in its own use of the connection, and WhatsApp each operate under their own terms, not these Terms.

9. Messages on WhatsApp — offered after launch, by invitation

9.1 When you link a phone number, you agree to receive messages from Mambo on WhatsApp, and we record that agreement with the version of the wording you saw.

9.2 You may stop at any time by replying STOP, or by unlinking the number in Settings.

9.3 Your mobile carrier's or WhatsApp's data charges may apply.

9.4 Section 6 of the Privacy Policy explains how these messages are handled.

10. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind. To the extent New York law allows, we disclaim all implied warranties, including the warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

This section does not limit the commitments we make about your data in Section 5 and in the Privacy Policy.

11. Limitation of liability

To the extent New York law allows, we are not liable for decisions you make based on the Service, or for losses that follow from them. To the same extent, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or savings. To the same extent, our total liability to you for all claims relating to the Service or these Terms will not exceed one hundred US dollars ($100).

Nothing in these Terms excludes or limits any liability that New York law does not allow to be excluded or limited, including liability for gross negligence or willful misconduct.

12. Suspension and termination

12.1 You may stop using the Service at any time by deleting your household in Settings › Security › Delete your household. Deleting your household ends these Terms.

12.2 We may end the beta, or your access to the Service, with notice by email. If your use of the Service threatens its security or another household's data, we may suspend your access at once, and we will tell you why.

12.3 If we end your access, your household data is deleted as the Privacy Policy describes. A self-serve export is planned for after the beta. Until then, ask us and we will send you a copy of your data, as Section 10 of the Privacy Policy describes.

12.4 Sections 7, 10, 11, 14 and 15 continue to apply after these Terms end.

13. Changes to these Terms

We will email you before a change to these Terms takes effect, saying what is changing and when. If you continue to use the Service after the change takes effect, the changed Terms apply to you. If you do not agree to them, you may delete your household before that date.

14. Governing law and courts

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be decided by the state courts located in Kings County, New York, or by the United States District Court for the Eastern District of New York. You and we consent to the jurisdiction of those courts. This section does not take away any protection that the law of the place where you live gives you and that cannot be waived by agreement.

15. General

15.1 These Terms and the Privacy Policy are the entire agreement between you and us about the Service.

15.2 If a court finds any part of these Terms unenforceable, that part will be enforced to the extent the law permits, and the rest of these Terms will remain in effect.

15.3 If we do not enforce a part of these Terms, we have not waived our right to enforce it later.

15.4 You may not transfer your account, or your rights under these Terms, to anyone else.

15.5 We send notices to the email address on your account. You may send notices to us at security@mambo.financial.
